You agree to defend, indemnify, and hold harmless HisBlue and its affiliates, owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

If not resolved, any Dispute will be resolved by binding arbitration on an individual basis under the Federal Arbitration Act, administered by a recognized arbitration provider pursuant to its rules. Arbitration will take place in San Francisco County, California, or by video/telephone when appropriate, unless both parties agree otherwise. The arbitrator may award individual relief but may not consolidate claims or preside over any form of class or representative proceeding.
Class Action and Jury Trial Waiver: You and HisBlue agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You and HisBlue waive any right to a jury trial.
Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice with your name, account email, and a statement that you opt out of arbitration to: 160 Spear St, San Francisco, CA 94105, and via email to [email protected].
Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or equitable relief for alleged intellectual property infringement in a court of competent jurisdiction.
These Terms are governed by the laws of the State of California and the United States, without regard to conflict of laws principles. Subject to the arbitration agreement above, the exclusive venue for any permitted court action shall be the state and federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
We may modify or discontinue all or part of the Services at any time. We may update these Terms from time to time. Changes will be effective when posted unless a later effective date is stated. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, the rights granted to you will cease immediately. Sections that by their nature should survive termination will survive.
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction. These Terms constitute the entire agreement between you and HisBlue regarding the Services and supersede all prior or contemporaneous agreements on the subject.
